Legal Terms




Introduction
This is an End-User Licence Agreement ("Agreement") between the person ("you") who has downloaded and installed the computer software application known as Checkpoint Software (the "Application" or the "Software"), and Checkpoint software Ltd, a company registered in England & Wales ("we", "us").

Accepting agreement
By downloading and installing the Application on any computer system, you agree to be bound by this Agreement. Checkpoint software Ltd reserves the right to modify terms of this Agreement at its discretion. If Checkpoint software Ltd makes any material changes to the Agreement terms, it may notify you by email or posting a notice on its website http://www.checkpoint-ppt.com (the "Website").

Licence
Checkpoint software Ltd grants you a revocable, non-exclusive, non-transferable, limited licence to download, install and use the Application strictly in accordance with the terms of this Agreement. The Software is licensed for use on only one (1) electronic device of any compatible and supported as denoted device and operational system. You acknowledge that the Software may contain third-party programs that are subject to separate licence terms. You agree to be bound by those separate licence terms.

Activation
The Application is distributed as an "Evaluation Copy" which, when used, displays a persistent reminder to "activate" the copy. Activation is achieved by entering an activation key that can be viewed at our Website at http://www.checkpoint-ppt.com/activation after obtaining access to a "Full Licence". The Application requires connection to the Website to be able to validate the key. Once the key is validated, the particular copy of the Application becomes an "Registered Copy" and no longer displays the activation reminder until the Full Licence's expiry date or until the entered activation key becomes invalid. The terms of this Agreement apply equally to the Evaluation Copy and to the Activated Copy of the Application. If this agreement is terminated before the Full Licence's expiry date, Checkpoint software Ltd will not give a refund for any part of the costs of obtaining the Full Licence.

Restrictions
You agree not to, and you will not permit others to:
Use the Application for any illegal purpose or in a manner that it violates any law or rights of any other person. Permit Use of the same Application in a manner not authorised by this Agreement. Disassemble, decompile, unlock, reverse engineer, or decode the Application in any manner or create any derivative works based of the Application. Re-sell, grant any rights under this Agreement to any third party or lease, time-share, lend or rent Applications. Copy any features, functions or user interfaces of the Applications. Introduce any malicious code, virus, malware, or any other material that disrupts, slows down or causes the Application to malfunction. Modifications Checkpoint software Ltd reserves the right to modify, suspend or discontinue, temporarily or permanently, the Application or any service to which it connects, with or without notice and without liability to you.

Intellectual property rights
The Software is protected by international intellectual property laws and treaties. All rights are reserved. The Software is licensed and not sold. Checkpoint software Ltd and its licensors retain all right, title and interest in and to the Software and any derivative works thereof, including all intellectual property rights therein. Nothing in this Agreement will be construed as granting, by implication, estoppel or otherwise, to you or any third parties, any ownership interest in the Software, and you will not claim for yourself or any third parties any right, title, interest or license to any intellectual property rights except for those that have been expressly granted under this Agreement.

Term and termination
This Agreement shall remain in effect until terminated by you or Checkpoint software Ltd. Checkpoint software Ltd may, in its sole discretion, at any time and for any or no reason, suspend or terminate this Agreement with or without prior notice. This Agreement will terminate immediately, without prior notice from Checkpoint software Ltd, in the event that you fail to comply with any provision of this Agreement. You may also terminate this Agreement by deleting the Application and all copies thereof from your device. Upon termination of this Agreement, you shall cease all use of the Application and delete all copies of the Application from your device.

No warranty
Checkpoint software Ltd does not warrant that the functions contained in the Software will meet your requirements or that the operation of the Software will be uninterrupted of error free. THE SOFTWARE AND ANY SUPPORT SERVICES ARE PROVIDED 'AS IS' AND 'WITH ALL FAULTS'. CHECKPOINT SOFTWARE LTD AND ITS SUPPLIERS AND LICENSORS MAKE NO REPRESENTATIONS, WARRANTIES OR CONDITIONS WITH RESPECT TO THE SOFTWARE AND SERVICES PROVIDED HEREUNDER, AND EXPRESSLY DISCLAIMS, ON BEHALF OF ITSELF AND ITS SUPPLIERS, ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY INCLUDING, WITHOUT LIMITATION, ANY WARRANTIES OF MERCHANTABILITY, TITLE, NONINFRINGEMENT, SATISFACTORY QUALITY, ACCURACY, CORRESPONDENCE WITH DESCRIPTION AND FITNESS FOR A PARTICULAR PURPOSE. You assume full responsibility for making backup copies of any of your own software, data and databases that interact with the Software.

Disclaimer
NEITHER CHECKPOINT SOFTWARE LTD NOR ITS SUPPLIERS AND LICENSORS SHALL BE LIABLE FOR INCIDENTAL, CONSEQUENTIAL, INDIRECT, SPECIAL, OR PUNITIVE DAMAGES OF ANY KIND, LOSS OF INFORMATION OR DATA, LOSS OF REVENUE, LOSS OF BUSINESS OR OTHER FINANCIAL LOSS ARISING OUT OF OR IN CONNECTION WITH THE LICENCE OR USE OF THE SOFTWARE, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT PRODUCT LIABILITY OR ANY OTHER THEORY, EVEN IF CHECKPOINT SOFTWARE LTD HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF ANY LIMITED REMEDY SPECIFIED IN THIS AGREEMENT IS DEEMED TO HAVE FAILED OF ITS ESSENTIAL PURPOSE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CHECKPOINT SOFTWARE LTD'S ENTIRE LIABILITY UNDER THIS AGREEMENT WILL BE LIMITED TO REPLACEMENT, REPAIR, OR REFUND OF THE LICENCE FEE PAID, AT CHECKPOINT SOFTWARE LTD'S OPTION AND POLICY.

Severability
If any provision of this Agreement is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

Amendments to this Agreement
Checkpoint software Ltd reserves the right, at its sole discretion, to modify or replace this Agreement at any time. If a revision is material we will provide at least 10 days' notice on our Website http://www.checkpoint-ppt.com prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

Governing law
The terms of this Agreement shall be governed by and construed in accordance with the laws of England & Wales. You hereby irrevocably submit to the exclusive jurisdiction of the courts of England & Wales located in London in connection with any dispute or matter arising out of this Agreement. Any waiver and/or failure by Checkpoint software Ltd to exercise or enforce any of Checkpoint software Ltd' rights or provision of this Agreement shall not constitute a waiver by Checkpoint software Ltd of such right or provision. You acknowledge and agrees that monetary damages alone would not be an adequate remedy in the event of a material breach by you of your obligations or agreements under this Agreement and that, at any time, Checkpoint software Ltd or any of its affiliates shall be entitled to injunctive relief to require from you to comply with your obligations hereunder. Any remedy available under this Agreement shall be cumulative and not exclusive of any other remedy available Checkpoint software Ltd or any of its affiliates under this Agreement, at law or in equity.

Termination
We may terminate or suspend access to our Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability. We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. In no event shall Checkpoint software Ltd, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

Governing law
These Terms shall be governed and construed in accordance with the laws of England & Wales, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have between us regarding the Service.

Changes
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
